MADISON WRESTLING CLUB INC.

The corporation is organized exclusively for the promotion of

charitable, scientific and educational purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code or the corresponding section of any future federal tax code and to assist public school districts in the State of Wisconsin with financial and other support for the sport of wrestling and for the making of distributions to organizations that qualify as tax-exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or organizations to which contributions qualify as charitable under Section 170(c) of the Internal Revenue Code or the corresponding section of any future federal tax code, or other organizations so long as the Corporation receives appropriate documentation of the organization's use of the funds within the Corporation's charitable purpose as required by the federal tax code.

The corporation may also engage in any and all lawful activities incidental to the foregoing purposes and for the administration of its affairs. The corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of the corporation.
